This is a preliminary version of our Terms, published while final details (full operator and jurisdiction information, and a support contact) are completed. It may change at any time. By accessing or using Origami Swap, you accept the Terms as currently posted — please check back for updates.

These Terms of Service ("Terms") govern your access to and use of Origami Swap — the website, application, and trade-execution and OTC services we provide (the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service — what it is (and isn't)

Origami operates a brokered, principal trading desk for cross-network digital-asset swaps and OTC trades. Understand the model before using it:

  • We trade as principal. When you execute a trade, you deposit your assets to an address we control, and we settle the asset you requested to your address. We are your counterparty.
  • We take custody of deposited funds during settlement. Between your deposit and our settlement, the assets you deposited are held and controlled by Origami.
  • This is not a non-custodial or trustless exchange. Settlement is not guaranteed by a smart contract and is not atomic. It depends on Origami performing.
  • You retain control of your own wallet and keys at all times. We never request, hold, or access your private keys or seed phrase.

Nothing in the Service is financial, investment, legal, or tax advice.

2. Eligibility

By using the Service you represent that you: are at least 18 years old with capacity to agree to these Terms; are not located in, resident of, or accessing from any jurisdiction where use of the Service is prohibited, and are not subject to sanctions or on any prohibited-party list; and will comply with all laws applicable to you. We may refuse, restrict, or terminate access to anyone, including to comply with law.

3. Identity verification, AML & sanctions

We may verify your identity (KYC), screen transactions and addresses against sanctions/AML watchlists, request source-of-funds information, and refuse, delay, freeze, or report any trade or account to comply with applicable anti-money-laundering, counter-terrorist-financing, and sanctions laws. You agree to provide accurate information promptly on request.

4. How a trade works

  1. Quote. You request a quote for a pay (sell-side) and receive (buy-side) asset/network. We return a firm amount valid for a short window.
  2. Deposit. You send the exact quoted amount to the settlement address we provide.
  3. Confirmation. We verify the deposit on-chain — correct asset, exact amount, correct address, sufficient confirmations.
  4. Settlement. Subject to approval, we send the receive-side asset to your specified address.

You are solely responsible for sending the exact amount, to the correct settlement address shown for that quote, and providing a correct, valid receive address on the correct network. On-chain transactions are irreversible. We are not responsible for losses from an incorrect amount, wrong address, wrong network, expired quote, or your own wallet or device.

5. Quotes, pricing & fees

Quoted rates reflect market pricing plus our spread/fees and are firm only for the quote window; if it lapses, request a new quote. Fees are reflected in the quoted amount or disclosed before you commit. Network (gas) fees to fund your deposit are your responsibility. We may change pricing and fees prospectively.

6. Failed or non-conforming deposits

A non-conforming deposit (wrong amount, wrong asset, late, etc.) may be rejected; any refund is handled per our then-current process and may be subject to network fees and verification. If settlement fails for operational reasons, we will work in good faith to resolve it, which may include re-attempting settlement or refunding the deposit.

7. Your responsibilities

Secure your own wallet, keys, and devices; provide accurate information; and use the Service only for lawful purposes. You will not (a) use the Service for money laundering, fraud, sanctions evasion, financing illegal activity, or trading unlawfully obtained assets; (b) attack or attempt unauthorized access to the Service; (c) use bots or automated abuse; (d) misrepresent your identity or eligibility; or (e) infringe our or others' rights.

8. Counterparty & other risks

Using the Service involves significant risk, including counterparty risk to Origami during the settlement window, network/technical risk, price volatility, and regulatory risk, as described in our Risk Disclaimer, incorporated into these Terms. Only trade amounts you can afford to lose.

9. No warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, secure, or error-free, to the maximum extent permitted by law.

10. Limitation of liability

To the maximum extent permitted by law, Origami and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, assets, or data, arising from or related to the Service. Some jurisdictions do not allow certain limitations; those apply only to the extent permitted.

11. Indemnification

You agree to indemnify and hold harmless Origami and its affiliates from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

12. Third-party services

The Service relies on third parties (blockchain networks, wallet providers, RPC endpoints, price sources) that we do not control and are not responsible for. Your use of third-party wallets and services is subject to their terms.

13. Intellectual property

The Service, including its software, design, and content, is owned by Origami or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service per these Terms.

14. Suspension & termination

We may suspend, restrict, or terminate access at any time, with or without notice, including for suspected violation of these Terms or law. Sections that by their nature should survive termination survive.

15. Governing law & disputes

These Terms are governed by the laws of the operator's jurisdiction (to be specified in the final version), without regard to conflict-of-laws rules. Dispute-resolution terms (courts vs. arbitration, venue, and any class-action waiver) will be specified in the final version.

16. Changes to these Terms

We may update these Terms. Material changes will be indicated by updating the effective date and, where appropriate, additional notice. Continued use after changes take effect constitutes acceptance.

17. Miscellaneous

If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may. These Terms are the entire agreement between you and us regarding the Service.
